Affiliate Program Agreement

1. Overview

This Affiliate Partner Agreement (“Agreement”) governs the relationship between AI Software (Capacity) UK Ltd trading as YouCanBookMe (“Company”) and any individual or business selected and invited to participate as an Affiliate Partner (“Affiliate”) in the YouCanBookMe Affiliate Programme. This is a separate and confidential arrangement from the YouCanBookMe standard referral programme.

By accepting this Agreement, the Affiliate agrees to all terms set out below.

2. Parties

  • Company: AI Software (Capacity) UK Ltd trading as YouCanBookMe
  • Affiliate Partner: Any individual or business who has been individually selected and invited to participate in the YouCanBookMe Affiliate Programme via a direct email invitation from AI Software (Capacity) UK Ltd trading as YouCanBookMe or its parent company, Capacity.com

3. Programme Duration

This pilot is ongoing.

Either party may terminate this Agreement earlier by giving 14 days written notice.

4. Referral Tracking

  • Referrals are tracked using unique referral links provided by YouCanBookMe within the Reditus platform.
  • Referrals are only valid and eligible for commission when tracked through this unique link.
  • YouCanBookMe is not responsible for tracking failures caused by ad blockers, browser settings, or improper link usage.
  • Referral attribution and commission calculations are determined solely by YouCanBookMe’s tracking systems and internal records, which shall be final and binding.
  • All referral activity is subject to the same tracking terms as the YouCanBookMe standard referral programme.

5. Commission Structure

Affiliates earn cash commission on successful referrals as follows:

  • Monthly subscription: $4 per qualifying conversion
  • Annual subscription (12-month): $25 per qualifying conversion
  • 24-month subscription: $25 per qualifying conversion

A conversion is "qualifying" when the referred customer completes payment and the one-month refund window has passed without a refund or cancellation. This means commissions are calculated on sales from one month prior to each payout date.

All commission amounts are calculated in USD.

6. Payment Schedule

Commission payments are paid quarterly via Reditus.

The Affiliate is responsible for providing accurate bank transfer details to Reditus before payment is processed. YouCanBookMe accepts no liability for delayed or failed payments due to incorrect account information. The Affiliate is solely responsible for any taxes, duties, or reporting obligations arising from commission payments received under this Agreement.

7. Conditions and Eligibility

  • Commission is only earned on new YouCanBookMe customers who create an account through the Affiliate's unique referral link and who have not previously held an account or subscription with YouCanBookMe.
  • If a referred customer requests a refund within 30 days, the associated commission will not be paid.
  • Self-referrals are strictly prohibited and will result in immediate termination of this Agreement.
  • We reserve the right to review referral activity and withhold or adjust commission if referrals are determined to be fraudulent, artificially generated, or inconsistent with the intended purpose of the programme.

8. Affiliate Obligations

The Affiliate agrees to:

  • Promote YouCanBookMe honestly, professionally, and in accordance with all applicable laws.
  • Clearly disclose the commercial relationship with YouCanBookMe to their audience, in compliance with FTC, ASA, GDPR, and any other applicable regulations.
  • Not make false, misleading, or exaggerated claims about YouCanBookMe or its products.
  • Not run paid advertising campaigns targeting YouCanBookMe-branded terms or trademarks.
  • The existence of the programme may be disclosed where required for affiliate marketing transparency, but the commission structure and commercial terms must remain confidential.

9. Use of Brand Assets

The Affiliate may use logos, banners, and marketing materials provided by YouCanBookMe, subject to the following:

  • Brand materials must not be altered or misrepresented.
  • The Affiliate must not present themselves as an employee or official representative of YouCanBookMe.
  • The Affiliate must not imply any formal partnership or endorsement beyond participation in this pilot programme.

10. Data Compliance

The Affiliate must:

  • Adhere to applicable privacy regulations (e.g., GDPR, CAN-SPAM, etc.).
  • Refrain from sending unsolicited messages or violating spam laws.
  • Handle all personal data securely and legally.

Violation may result in immediate termination of this Agreement and forfeiture of any unpaid commission.

11. Confidentiality

The existence of this Agreement, the commission structure, and the payment terms are confidential. The Affiliate agrees not to disclose these details to other YouCanBookMe users, the media, or the public without prior written consent from AI Software (Capacity) UK Ltd.

12. Termination

  • Either party may terminate this Agreement with 14 days written notice.
  • YouCanBookMe may terminate immediately and without notice in cases of fraud, brand misuse, or breach of this Agreement.
  • On termination by either party with written notice, commission earned up to the termination date on qualifying sales (subject to the one-month refund window) will still be paid at the next scheduled payment date.
  • In cases of immediate termination due to fraud, brand misuse, or breach of this Agreement, no commission will be paid, regardless of qualifying sales made prior to termination.

13. Governing Law

This Agreement is governed by the laws of England and Wales, excluding conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Acceptance of Agreement

By accepting the invitation to join the YouCanBookMe Affiliate Programme — whether by generating your unique referral link, making your first referral, or issuing an invoice under this Agreement — you confirm that you have read, understood, and agree to be bound by the terms of this Agreement. No physical or electronic signature is required.

The Affiliate is responsible for providing accurate bank transfer details to Reditus before the first payment is processed.
